Reading the filings
- The first notice was 286 days late.Regulation D requires a Form D within 15 days of the first sale. First sale Dec 15, 2016; filed Sep 27, 2017. That is a housekeeping signal, not a valuation signal.
- The 2016 round closed at 56 percent.$2,928,731 of $5,239,995 offered, leaving $2,311,264 unsold. No amendment was filed, so on the record the offering simply stopped.
- The 2018 round shows a lead, then a sweep.April: 6 investors, $907,756, about $151,000 each. Seven weeks later: 29 investors, $1,996,108, about $69,000 each. The count rose almost fivefold while the average cheque fell by more than half, and the round closed within $3,892 of target.
- The filings cover about 62 percent of the stated equity.Form D sales total $4,924,839 against the roughly $8 million of equity claimed in February 2021, a gap of about $3.1 million spanning 2019 to 2021. Issuers raising under Section 4(a)(2) file no Form D, so the gap is unverified rather than improper.
- Government money exceeded venture money.Federal awards total $5,267,071, above the $4,924,839 of disclosed equity. The largest single sum was a Department of Defense grant of $3,553,457.21 in July 2019. The planned Series B never produced a filing.
