What the filings show
Nothing, because there are none. A search of SEC EDGAR returns no Form D filed by Volt Health, and no Regulation D notice by any related filer or single-company vehicle. The absence is not proof that no money moved. Companies that sell securities under Section 4(a)(2) rather than Regulation D file no Form D at all, and a lone accelerator safe frequently produces no notice. It does mean there is no filed document that names an officer, a director, an offering size or an investor count.
What exists instead is two commercial databases reporting the same number. PitchBook lists total raised of $120K across two recorded deals: an accelerator or incubator deal completed March 21, 2017, and a private secondary transaction completed March 1, 2022. Tracxn reports $120K in one round, a 2017 seed, with one investor and one institutional investor, and a last known valuation dated January 1, 2017.
Reading the filings
- The whole capital record is one standard accelerator check.Y Combinator’s published terms in early 2017 read: “We have a standard deal at YC: we’ll invest $120k in return for 7% of the company.” The $120,000 both databases report matches that figure exactly. Divide it out and the implied post money is $120,000 divided by 0.07, about $1.71 million. Tracxn dating its last known valuation to January 1, 2017 is consistent with that being the only valuation event on file.
- No Form D means no priced round was reported through the SEC.A Form D is due within 15 days of the first sale in a Regulation D offering. None exists. Either every dollar after the accelerator came in outside Regulation D, or no dollar came in. The two databases agreeing on $120,000 nine years later points to the second reading.
- The 2022 entry is a secondary, not a raise.PitchBook logs the March 1, 2022 event as a secondary transaction, private. In a secondary, an existing holder sells to another holder. No new capital enters the company and no proceeds reach its balance sheet. Counting it as funding would double count the same shares.
- The timing sits on top of the website going dark. The last Internet Archive capture of volthealth.com returning a normal page is dated January 28, 2022. The first capture returning 404 is dated March 15, 2022. The recorded secondary falls between the two, on March 1, 2022.
- Non-dilutive capital was available and was not taken.NIH and NSF both fund early neurostimulation work through SBIR. NIH RePORTER returns zero projects for the company. Peer companies in the same indication used that money: Elidah and Avation Medical both reached FDA clearance, and Avation registered a clinical study, NCT04547920, that appears on its 510(k) record.
- Tracxn ranks the company 117th of 139 in its own competitive set.The three it puts at the top, Axonics, Amber Therapeutics and Valencia Technologies, are reported at $143M, $116M and $56.9M raised. Against $120K, this is not a funding gap, it is a different category of company.

What to watch
- A first Form D. It would be the earliest SEC evidence of any priced round and would name officers, directors and an investor count.
- A 510(k) under product code QAJ or NAM, the two FDA classes for non-implanted urinary incontinence stimulators.
- A patent application naming Volt Health as assignee. Applications publish about 18 months after filing.
- Any revision to the Y Combinator directory entry, which still carries the March 2017 pitch.

Compiled from SEC, FDA, NIH and Internet Archive public records and published reports as of September 24, 2026. Form D notices report offerings under Regulation D; the absence of one does not by itself establish that no securities were sold. Healthcare Venture Capital Fund holds no position in Volt Health.
