Reading the filings

  1. Nobody has filed a Form D for CellType, Inc. itself.All three filings on record are for Sydecar administered LLC series named after CellType, the standard structure for a special purpose vehicle that pools smaller checks into one line on a company’s cap table. None was filed by an entity called CellType, Inc. That can mean CellType’s own round has not closed, that it raised under an exemption that does not require a Form D, or that a filing has simply not been made yet. It does not mean no money has moved.
  2. The three vehicles read as three separate angel pools, not one round.They are named for different windows, March 2026, April 2026, and a plain “CGF2021” series, and they raised different amounts from different sized investor groups: 5 investors averaging about $31,400, 3 investors averaging about $34,800, and 21 investors averaging about $60,800. That spread of dates and group sizes looks like several separate syndicates rolling money in over about a month, not one coordinated tranche.
  3. All three declined to state a total offering size.Every filing lists the total offering amount as indefinite. That is common for SPVs, which are often sized to whatever the syndicate can raise, but it means the $1,537,878 sold across the three vehicles is a floor, not a target.
  4. One administrator ties all three together.Sydecar LLC, at the same Claymont, Delaware address, administers all three filings, and Brett Sagan signs all three as an officer of the administrator. This is a fund administration platform used by many unrelated SPVs, so common administration says nothing about who organized any individual syndicate.
  5. The company’s own funding claims are not on this record.CellType’s public materials describe interest from “Top 10 pharma” and a Pioneer Fund general partner has spoken publicly about backing the company, but no priced round, valuation, or total raised has been disclosed in any source reviewed for this profile.
