What the filings show
No Form D notice appears on SEC EDGAR for Granza Bio, Inc., Granza Bio Corporation, or any obvious variant of the name, in the searches run for this profile. That is consistent with the company’s own records file, which lists no Form D and no EDGAR mentions for Granza Bio. Two entities do have a public filing trail outside the SEC. Granza Bio Corporation is a Delaware stock corporation registered to do business in California, filed with the California Secretary of State on July 29, 2024, document number 6324794, address 95 Third Street, San Francisco. Ashwin Nandakumar is listed as chief executive officer, chief financial officer and a director; Ashwin Jainarayanan is listed as secretary and a director. Granza Bio Limited was incorporated in the UK on January 19, 2024, with a GBP 1 statement of capital, and its registered office moved from a London address to Oxford’s Bioescalator incubator in January 2025. Its UK filings to date are routine: confirmation statements and micro-company accounts, which do not disclose revenue or share allotments in detail.
Reading the money
- A round can close without a Form D showing up.Companies raising under the Section 4(a)(2) exemption, rather than Regulation D, are not required to file a Form D at all, and a filing can also simply lag. The absence of a filing here does not mean the reported $7.14 million did not close, only that it has not left a matching SEC record as of this profile.
- The two published totals are compatible, not competing.TechCrunch and the company’s own release describe a $7.14 million seed. Tracxn’s $7.64 million figure for total funding adds in a separate $500,000 Y Combinator investment from April 2024, ahead of the seed. Read together they describe one continuous raise, not two conflicting numbers.
- The investor list traces back to Y Combinator’s network.Several of the named angels in the July 2024 release are identified as former YC Group Partners or Visiting Group Partners, and the round’s lead investors both worked with the company through its YC batch. That fits the founders’ own account of being introduced to fundraising through YC’s biotech partner.
- One third party estimate does not hold up.GetLatka’s profile of Granza Bio states the company had reached $5 million in revenue by June 2024, a month before the seed round it also says never happened, and gives 2023 as the founding year against a 2024 date confirmed by both the California and UK filings. Treat that revenue figure as an unverified automated estimate, not a reported number.
- The corporate structure spans two countries.A Delaware corporation doing business in California sits alongside a UK limited company registered at Oxford’s Bioescalator, the university’s life sciences incubator. That mirrors the founding story: research and academic roots at Oxford, commercialization and fundraising built around Y Combinator in San Francisco.
