What the filings show

There is nothing to show here in the usual sense. HelpNow has no US entity, so it has never filed a Form D with the SEC, and a full text search of EDGAR for “HelpNow” returns zero Form D results. As an Indian private limited company, its capital raising would instead show up, if at all, in filings with India’s Ministry of Corporate Affairs, principally the return of allotment (Form PAS-3) that a private company files after issuing new shares. This profile did not locate a public, line-item breakdown of any such filing for Pentanami Technologies Private Limited, HelpNow’s legal entity. What is available instead is a corporate registration record, not a funding record: the company was incorporated on January 24, 2019, with an authorized capital of Rs 1 crore and a paid up capital of Rs 67,65,310, per aggregator copies of its MCA filing.

Reading the filings

  1. Two aggregators, two different totals.PitchBook puts total funding at $139,000 across four labeled rounds from 2019 to 2024. Tracxn puts it at $125,000 in a single 2020 round attributed only to Y Combinator. Neither number can be checked against a primary filing, because none exists publicly for this company. The gap, about $14,000, is close to PitchBook’s own $13,700 YC figure, which raises the possibility that Tracxn counts only the YC check and PitchBook adds an angel round on top. That is a guess, not a confirmed reconciliation.
  2. The Y Combinator number itself is unusually small.Y Combinator’s standard deal in the 2020 batch cycle was $125,000 for a fixed equity stake, later evolving to a mix of note and equity. PitchBook’s $13,700 figure for the March 2020 accelerator investment does not match that standard amount. It may be only the priced-equity portion of a larger note-plus-equity deal, or an aggregator error. Either way, it is worth flagging rather than repeating as fact.
  3. A 2024 round exists with no public announcement.PitchBook lists a Later Stage VC round dated February 19, 2024, naming five of nine investors: Enrission India Capital, Calm Ventures, Emles Venture Partners, Liquid 2 Ventures and Soma Capital. No amount is given, and this profile found no press release, blog post or news article announcing it. A round with investors on record but no public confirmation and no filing is the weakest kind of evidence in this file, and it is presented here only because a named data provider carries it.
  4. The crowdfunding money is a different pool entirely.The Rs 2.4 crore-plus raised on Ketto in 2021 and 2022 funded free ambulance rides for slum residents and the poor during Covid. It carries no equity, no cap table entry and no investor of record. Folding it into a funding total would overstate the company’s venture capital raised.
  5. The clearest recent signal is not a filing at all.Y Combinator’s own company page lists HelpNow’s status as “Inactive,” and the company’s website returns a 404 error as of this writing. Corporate registry aggregators, by contrast, still list the underlying legal entity as “Active,” with no strike-off or voluntary dissolution recorded. A company can sit in that gap for a long time before its MCA status catches up with its operating reality.

  • Any public confirmation, from HelpNow or its listed 2024 investors, of the amount and terms of the February 2024 round.
  • Whether the gethelpnow.in domain is renewed or allowed to lapse.
