Lume

No SEC Form D was ever filed in Lume’s name. What exists instead is a Y Combinator listing, one acquisition announcement with no price attached, and two commercial data aggregators that cannot agree on how much the company raised.

What the filings show

Nothing. SEC EDGAR’s full text search returns zero results for “uselume.com,” and no Form D notice appears under the name Lume. Records.json for this company pulled in a long list of EDGAR mentions of the word “Lume,” but every one of them traces to a different entity: Lume Technologies LLC is a Utah filer with no connection found to this company’s banking product, Lume Holding Co is registered in Michigan, and the various Lume Capital, Lume Cube, Lume Systems and Lume ALPHA filings belong to investment vehicles and an unrelated camera accessory maker. None of them share an address, officer name or filing date that ties back to Christopher Chang, Shantanu Joshi, or uselume.com.

Reading the numbers

  1. No primary filing exists.A Regulation D exemption is common for an early fintech raise, but it is not mandatory; a company that raised under Section 4(a)(2), or simply raised a small friends and family or accelerator-adjacent round, would leave no Form D at all. The absence here is consistent with a very small raise, not proof that no money moved.
  2. Two aggregators, two numbers.PitchBook lists $150K total raised with Y Combinator, Esas Ventures and Soma Capital as investors. CB Insights lists $130K total raised with Y Combinator and Esas Ventures, and dates the last raise to roughly six years before its own September 2021 snapshot. Neither service cites a press release, blog post or filing, and the two numbers do not reconcile into a single round or a sequence of rounds.
  3. The acquisition carries no price.Vivian Health’s announcement describes an agreement to use Lume’s technology and brings on both co-founders, but states no consideration, cash or stock. Coverage that followed, all of it built on the same press release, added nothing on terms.
  4. The registered address does not match the YC listing.PitchBook lists Lume Health’s corporate office as 2261 Market Street, Suite 4118, San Francisco, a suite number consistent with a mail forwarding address rather than an operating office. Y Combinator lists the company’s location as New York City. A company can hold a California mail address for incorporation purposes while operating from New York, so this is a gap worth noting rather than a contradiction that rules one source out.

What to watch

  • Any amended or late Form D under Lume’s name, or a state-level securities filing that would confirm a raise amount.
  • Whether PitchBook or CB Insights revise their funding figures to agree with each other or cite a source.
  • Whether Vivian Health, since folded into People Inc., discloses what it paid for the use of Lume’s technology.
