Reading the filings
- The Series A was one offering, filed once.July 2023 reported $16,062,824 sold against a $21,182,882 offering, leaving $5,120,058 open. Eleven months later the company announced $4,000,000 from Norwest that rounded the round out at $20 million. $16,062,824 plus $4,000,000 is $20,062,824, and no new Form D followed. The second close fit inside room the first filing had already reserved.
- The 2026 round is debt, and nobody announced it.May 1, 2026 reports $10,000,000 sold of $10,000,000 offered, in debt plus options to acquire, from 29 investors, an average of about $344,828 against a $10,000 minimum. First sale was April 10, 2026 and the filing landed 21 days later, where Form D is due within 15. Notes at that minimum across 29 holders read as a bridge drawing on existing and individual backers, not a priced round led by a fund.
- The board follows the money.February 2021 lists Boire, Lucks and Kulika Weizman, then a principal at Creative Ventures, which led that seed. The 2023 and 2026 notices drop Weizman and add Robert Crutchfield, Joel Whitley and Jim Monsor. Crutchfield is an operating partner at Good Growth Capital and Whitley a partner at IAG Capital Partners, the two firms that co-led the Series A. Norwest’s Zack Scott and Ehi Akhirome were announced in June 2024 as board observers and appear nowhere in 2026, which is what an observer seat looks like.
- A fifth of the capital is non-dilutive.$7,427,151 of NIH and NSF awards against $29,154,372 of Form D sales. The $3.6 million NIH grant announced in June 2024 matches the R44 portion of project HL151025, which shows $1,212,392 in each of fiscal 2024, 2025 and 2026, or $3,637,176. Three further awards worth $1,921,359 began in September 2026, two for manufacturing scale up and long term degradation testing.
- Grants carried the first five years, from Nashville.Across the 2018 to 2021 notices the company offered $4,235,000 and sold $3,091,548, about 73 percent, in average checks running from $17,500 to $93,442. Federal awards over that window were larger. Those four notices give a Nashville, Tennessee address; 2023 and 2026 give Houston, Texas. Delaware incorporation stays constant. Venture money arrived only after the feasibility data did.

- Whether a Series B arrives before the pivotal trial reads out, or after.
