Reading the filings

  1. The filing is 40 percent larger than the announcement.Akido said $60 million on May 15, 2025. The Form D signed the next day reports $84,254,689 offered and the same amount sold, nothing remaining. The difference is $24,254,689. An offering reported closed at the full amount usually means earlier notes or safes converted into the priced round and were counted in it. Akido has not explained the gap and has filed no amendment.
  2. The checks are institutional.$84,254,689 divided by 94 investors is about $896,326 each. That is a venture round, not a crowd, and it had been open 66 days by the press release: first sale March 11, announcement May 15.
  3. The Form D was late.Regulation D requires the notice within 15 days of the first sale. First sale was March 11, 2025; the filing landed May 16, a day after the press release. The Greco vehicle was later still: first sale March 26, filed October 29, a gap of 217 days.
  4. A board seat shows up in the filing eight months before it was announced. The May 2025 Form D lists John Greco as a director. Akido announced on January 22, 2026 that Jack Greco had joined its board and was a major investor in the recent financing. The filing had him there already.
  5. Two vehicles were built to carry other people into the round.Jack Greco – Akido, LLC pooled $7,950,000 from 72 investors, about 9 percent of what the company reported selling. NV Akido, run by Necessary Ventures, pooled $246,285 from 14 investors at a $1,000 minimum. Together they moved $8,196,285 from 86 people absent from the company’s investor count.
  6. One EDGAR match is not this company.A fourth filer, TMF1 Akido LLC, appears in name searches. It is a Michigan LLC managed by Townsend Mertz, a Houston real estate private equity firm, unconnected to Akido the health company. Excluded here.
  7. Nothing has been filed since. No Form D appears under CIK 0002063139 after May 16, 2025, while the company went from 240 providers to more than 1,000. Either growth is funded from the Series B and revenue, or a later raise used Section 4(a)(2) and required no notice.
