Reading the filings

  1. The Series A landed as announced. The release said $68 million. The May 2022 amendment reports $67,999,951 sold from 28 investors, about $2.43 million each. Announcement and filing agree to within $49.
  2. The Series B did not.The October 1, 2025 headline says $54.4 million. The same release says $45.2 million closed plus $9.2 million committed. The Form D filed a day later reports $45,199,665 sold of $55,477,037 offered. The December amendment adds two investors and $1,250,000, reaching $46,449,665, and leaves $10,485,257 unsold. A company release three weeks later called the round $54.5 million.
  3. The clock started fifteen months early. Both Series B filings give a first sale of June 28, 2024 and mark the offering as running more than a year. A Form D is due within fifteen days of first sale; the first arrived October 2, 2025. Either the round filled quietly for a year before the announcement, or an earlier instrument was folded in and dated from its own first sale.
  4. Public totals count money not yet in.GenomeWeb put the lifetime total at “at least $136.4 million” and Fierce Pharma at “more than $134 million”. The filings as sold give $4,734,242 plus $5,000,000 plus $67,999,951 plus $46,449,665, or $124,183,858. The gap is the $9.2 million of commitments plus seed money sold after the 2020 filing with no amendment on record.
  5. A $5 million bridge sits before the Series A.October 2021: exactly $5,000,000 offered and sold to seven investors, equity and debt, first sale October 8. The Series A first sale followed five months later. That is the shape of a convertible bridge from existing holders.
  6. The board turned over with the money.2020 and 2021 list only the founders. 2022 adds Lily Li, then a Northpond principal. By 2025 Li is gone, Palluk is an officer but no longer a director, and Chenny Zhang of Cerberus, Yanniv Dorone of Fall Line and Matthew McManus are directors. The filings do not state McManus’s affiliation, and none was found.
