Reading the filings

  1. The 2026 round is institutional, the 2023 round was not.$13,518,941 across 15 investors is about $901,000 each. The 2023 offering averaged about $101,600 across 18 investors. The first is the shape of a venture round, the second the shape of an angel and micro fund round.
  2. The announced pre-seed is larger than any filing supports. The April 2023 release put the pre-seed at $4.2 million. The Form D filed on February 21, 2023 reported $1,829,000 sold out of a $3,000,000 offering, and no amendment ever followed. Even a fully subscribed offering would have left $1.2 million unaccounted for. Money raised outside Regulation D, for instance from investors outside the United States or under Section 4(a)(2), never reaches a Form D, so the gap is a reporting gap rather than proof the announcement was wrong.
  3. Three and a half years with nothing on EDGAR.Between February 2023 and September 2026 the company filed no exempt offering notice, yet in June 2025 it stated it had raised more than $13M and Forbes put the founders at around $10 million. Whatever closed that gap did not travel through a reported Regulation D offering in the United States.
  4. The board grew with the money. The 2023 notice lists only the two founders as related persons. The 2026 notice adds Joel Schoppig and Vishal Gulati as directors. Outside directors arriving at the same moment as a $13.5 million first sale is the usual signature of priced institutional terms.
  5. The 2026 offering is not closed.$1,481,059 of the $15,000,000 was still unsold at the filing date. An amendment, if one comes, will say whether the rest filled.
  6. The operating company had real money before the round. The Slovak subsidiary held EUR 940,337 in bank accounts at December 31, 2025, against EUR 126,875 a year earlier, and carried EUR 719,036 of short term deferred income into 2026. That balance predates the August 2026 first sale by eight months.

What to watch

  • An amended Form D for the 2026 offering, which would settle whether the last $1,481,059 sold.
  • The Slovak accounts for the year to December 31, 2026, the first set to reflect the new capital.
  • The first UK accounts that stop qualifying as micro company accounts.
  • A named customer or a signed supply agreement in place of letters of intent.
  • Whether clinical grade material arrives on the 2026 timeline stated with Sartorius.
