Reading the filings

  1. The absence of a Form D is not a red flag.A full text search of EDGAR returns zero documents across all form types, and no EDGAR company record exists. Form D covers offerings sold under Regulation D, and an Ontario company raising from Canadian and accelerator sources has no reason to file one. Every capital figure here comes from a commercial database, not a filing.
  2. Three databases, three totals.Tracxn says $125K in one round, CB Insights $130K, PitchBook $244K across eight deals. The $119,000 spread is about one accelerator cheque, so the disagreement is about how many accelerator and grant entries each vendor counts, not a missing venture round.
  3. Five of the eight recorded deals are not priced financings.PitchBook logs four accelerator entries and one grant against two seeds in 2021. The January 2026 accelerator matches the MassRobotics cohort the company announced itself. That is a company funded by programs, not by rounds.
  4. The clearance arrived before the money. The FDA decision is dated October 3, 2025, and the only capital event on record after it is an accelerator cohort. No priced round has been reported since, and the company still lists a team of eight.
  5. The peer set is orders of magnitude larger.Tracxn ranks Revolve 92nd among 238 active competitors and puts CMR Surgical at $1.28B raised, PROCEPT BioRobotics at $349M and Medical Microinstruments at $210M. Distalmotion, chasing the same ambulatory surgery centers, has taken about $400M. On Tracxn numbers, Revolve has raised roughly one ten thousandth of CMR.
  6. The board is the founders.Tracxn lists three current board members: Matthew Kang, Peter Francis and Peter Alexander Gordon, all marked independent and all founders. No investor director appears anywhere in the public record, which fits a company that has taken no priced institutional round.

What to watch

  • A first priced round. Eleven months since the clearance, no financing reported.
  • A Form D, which appears only if the company sells into the United States under Regulation D.
  • The three patient Toronto series, and whether the April 2026 start date holds.
  • A second 510(k) covering all laparoscopic surgery, which the company expects before launch.
  • A Health Canada licence, without which the home market stays closed.
