Reading the filings

  1. There is no Form D to read.A Regulation D offering requires a notice within 15 days of the first sale. EDGAR holds none for this company, under its own name or any vehicle naming it. A priced seed sold to a handful of institutions can be closed under Section 4(a)(2) with no notice at all, so the absence does not mean the $10.6 million did not arrive. It does mean the usual filed checkpoints, investor count, amount sold against amount offered and the list of directors and officers, do not exist for this company.
  2. Federal money is now the larger provable line. The nine NIH records sum to $7,595,322 against $10.6 million of announced equity. Combined, that is $18,195,322, of which the grants are 42 percent. Of the NIH total, $6,396,189 was recorded in FY2024 or later, which is after the seed round closed.
  3. The company’s own total is three years stale. In September 2023 it reported $4.6 million in grants and $15.2 million raised in total. The grant figure on public record has since grown by about $3 million. No updated total has been published.
  4. One aggregator double counts the 2023 announcement.A startup data site lists $26.2 million across two rounds dated five days apart in September 2023, an $11 million seed and a $15.2 million grant. The company’s own release describes $10.6 million of equity plus $4.6 million of grants, totaling $15.2 million. The $26.2 million figure counts the same announcement twice.
  5. Headcount does not match the 2023 plan. The seed release said the money would bring on team members for scale-up manufacturing, clinical operations and research. The Y Combinator listing in September 2026 gives the team size as two. The company website carries eight staff biographies plus two scientific advisers. The two figures are not reconcilable from public sources.
  6. The largest single federal line is IND-directed.The NIAAA award that began on July 1, 2026 is worth $2,063,303 through June 2028 and is titled as advancing the telomere extension biologic to IND for alcohol-associated liver damage. That is the closest thing on public record to a clinical timetable.

What to watch

  • A Form D for the seed extension, which would be the first filed disclosure of investor count and amounts.
  • Whether the extension is priced equity or convertible notes, which the notice would also reveal.
  • A trial registration, on the Australian registry for the stated Phase I or on ClinicalTrials.gov for any US study.
  • An IND announcement against the June 2028 end date of the NIAAA award.
  • Publication of the mouse and non-human primate data that the grant abstracts describe.

Compiled from SEC, NIH and other public records and published reports as of September 23, 2026. Form D notices report offerings under Regulation D; a company that raises under Section 4(a)(2) files none, so the absence of a notice is not evidence that no capital was raised. Healthcare Venture Capital Fund holds no position in Rejuvenation Technologies. This page is not an offer to sell or a recommendation to buy any security.
