Reading the filings

  1. The first filing overstated the raise by a factor of six.Sold went from $1,000,000 to $160,000 in five days with the investor count unchanged at three. Per investor that is a move from about $333,333 to about $53,333. The Los Angeles Business Journal reported the correction the same week: “An attorney representing Forcyte Biotechnologies updated the securities filing on Jan. 15, after realizing the earlier filing was made in error, said company founder Ivan Pushkarsky.” The newspaper had already published the $1 million figure.
  2. Most of the capital on record is taxpayer money.Of the $5.7M the company claimed in June 2022, $3,185,607 is NIH grant money that can be counted award by award. That is about 56 percent. The remaining $2.5M is the company’s own arithmetic and is not supported by any filing.
  3. The 2022 round has no Form D.Five named backers were announced on June 1, 2022 and nothing was filed. An issuer relying on Section 4(a)(2) rather than Regulation D files no Form D, so the absence does not mean no money moved. It does mean the round size, the investor count and the security type are unverifiable.
  4. What was sold was not stock. The 2019 filing checks only the option to acquire equity box, with a $25,000 minimum. That is the signature of SAFEs or convertible notes, which is to say the company had not been priced by an outside lead at that point.
  5. The cap table was one person deep. Both filings list a single related person, Ivan Pushkarsky, as executive officer. No outside directors appear. Three years later a Y Combinator batch and five named investors had arrived, and still no filing recorded a board.
  6. The data providers do not agree on anything.CB Insights puts total raised at $130K and marks the company alive. Tracxn puts it at $5.7M across eight rounds and shows 8 employees as of June 2026. Seedtable dates the last funding to August 23, 2021, marks the status closed, and states that the founder reports operations were wound down. The SEC record supports only $160,000.

What to watch

  • A Form D that never came. Nothing has been filed under CIK 0001760069 since January 15, 2019, which is the cleanest single fact on this page.
  • A Delaware dissolution or a California franchise tax forfeiture, either of which would date the wind-down precisely.
  • The status of the UCLA license on patent family 11,592,438. A reassignment or a new licensee would say where the technology went.
  • Any acquirer of the FLECS consumables line. The plates had outside users and could outlive the corporate entity.
