Rule
A Regulation D offering requires a Form D within 15 days of the first sale. An offering under Section 4(a)(2) does not.

Reading the filings

  1. The round left no SEC trace. Two outlets and the lead investor all put the seed at $2.5 million in April 2021. EDGAR holds nothing. That is legal, and common for an accelerator company raising outside Regulation D, but it means every number here comes from press releases and data providers rather than a filing.
  2. Average check, with a caveat.A data provider counts 12 investors, 8 institutional and 4 angels. Divided evenly, $2,500,000 across 12 is about $208,000 each. Two named co-leads plus a standard accelerator allocation means the real distribution is far more skewed than that.
  3. The capital is small against the price of the product.$2,650,000 raised in total. At a $369 list price, roughly 7,200 tests sold at full price would equal the money raised. That is the scale the business has to clear before outside capital stops being the main input.
  4. Five years and five months without a disclosed round.April 19, 2021 to September 23, 2026. No Series A, no bridge, no filing. The Y Combinator directory still listed the company as active with seven employees and five open roles on September 23, 2026.
  5. None of it is non-dilutive.No NIH or NSF award appears under this company; awards that surface on a name search belong to Adynxx, Inc., an unrelated pain drug company. The founder has since said she would tell scientist founders to pursue grants before venture money.
  6. Revenue cannot be checked from outside. The only operating figures published are ratios from March 2023: 94% of customers starting or switching a method, sales into 43 of 47 states, genetic clot risk flagged in 7.5% of an initial population. No unit counts, no revenue, no update since.

What to watch

  • A first Form D, which would be the first time this company’s financing shows up in a filing rather than a press release.
  • Any Series A, or a shutdown notice. Five years of silence resolves one way or the other.
  • Insurance coverage, which would change the unit economics more than any round.
  • A published study. Without one, the pricing rests on a claim no external party has tested.
