Reading the filings

  1. The seed numbers are cumulative, not additive.A $750,000 seed was announced in October 2013 and a $1.75 million seed in April 2015. TechCrunch put total capital at $7.7 million immediately after the June 2015 Series A. Since $1.75M plus $5.9M is $7.65M, the 2013 money sits inside the $1.75M figure rather than beside it.
  2. The company’s own total is about $2.3 million higher than the press record.The about page claims more than $10 million raised. Reported rounds support $7.7 million. Tracxn carries $8.5 million across four rounds, Wellfound $8.4 million across three. No filing exists to settle the difference, and no later round has ever been announced.
  3. Eleven years without an announced raise is the loudest number on this page.The last dated round is June 30, 2015. For a brokerage that earns recurring commission per group placed, that is consistent with a business that reached cash breakeven and stopped needing outside money. It is equally consistent with a business no one wanted to fund. The public record does not distinguish between the two.
  4. No Form D means no investor count and no average check.For most companies this page would divide amount sold by investor count. Here there is nothing to divide. The only investor lists that exist are the ones in press releases, and press releases name winners, not amounts.
  5. One board seat is documented and only one.Gary Swart of Polaris Partners joined the board at the Series A in June 2015. No later board composition, departure or replacement was found in any public source.
  6. The largest distribution channel was lost, not bought.Intuit is frequently described as having acquired this company. It did not. Intuit named it an integration partner in August 2019, signed Allstate Health Solutions in November 2023, and ended support for the SimplyInsured integration in QuickBooks effective August 31, 2024. A revenue channel closed; no equity changed hands on the record.

  • A first Form D. Any priced round would normally produce one within 15 days of first sale.

  • Any change of control. A brokerage with fourteen years of licensure and a commission book is a natural roll up target.
  • State insurance department filings, the failure mode that ended the Zenefits brokerage.
