Reading the filings

  1. The absence of a Form D is not proof of nothing.A $2.1 million priced round can be sold under Section 4(a)(2) of the Securities Act, which carries no Regulation D notice requirement. What the absence does mean is that no investor count, no offering size, no first sale date and no related person list exists in any public file for this company. Every capital figure here traces back to the company or its founder.
  2. The announcement and the founder disagree by $100,000.The March 30, 2021 blog post says $2.1 million. In January 2026 the founder told Digital Business “We raised $2.2 million in that round.” Neither number is filed anywhere. On a round this size the discrepancy is 4.8 percent, which is the size of a late angel check or a rounding habit, not a material restatement.
  3. $1.7 million has no announcement attached.Take the founder’s January 2026 total of $3.8 million and subtract the announced pre-seed of $2.1 million. The remainder is $1.7 million, roughly 45 percent of all capital, raised across five years with no press release, no Form D and no named investor. A grant, a bridge note, a safe extension or revenue reinvested are all consistent with the record. So is nothing at all beyond the founder’s arithmetic.
  4. The grant the federal record does not carry.The founder says he and his co-founder received a National Science Foundation grant before settling on the idea. A search of the NSF awards database for the company name returns no awards, and NIH RePORTER returns none. If it exists it sits under a university or personal name, common for Stanford work, but it is not on the company’s name in any record we can read.
  5. Two data vendors disagree about revenue by a factor of two to four.GetLatka carries an estimate of $1.2 million of annual revenue for 2024 and lists funding as $0. Extruct carries a range of $2 million to $5 million. Both are models, not disclosures, and one of them shows $0 raised for a company that announced $2.1 million from Andreessen Horowitz.
  6. The headcount and the geography moved together.The founder put the team at around ten people in January 2026. Data vendors show eight. The open engineering roles on the Y Combinator listing are posted in Astana, Kazakhstan and remote across Central Asia, with bands from $18K to $50K. With one announced round and no visible follow-on, moving engineering to a lower cost base is what keeps a small team funded off revenue.

  • A first Form D. It would be the first machine readable number this company has ever produced.
  • Any breakdown of the $1.7 million between the announced round and the reported total.
  • Confirmation of an enterprise account beyond Vaxxas from a release, a filing or a paper.
  • Whether the citation rate, weighted to 2025 and 2026, converts into paid seats or stays academic goodwill.
  • Whether the August 2026 rebuild and the paid academic tier show up as a pricing page rather than a sales call.
