Amulyte

What the filings show
No SEC Form D was found for Amulyte, Inc. or for any investment vehicle formed around it. That absence does not by itself mean no Regulation D offering was ever filed; it means none turned up in the sources checked for this page. It is also consistent with the company’s own account of its capital, which centers on a Y Combinator seed check and a Wefunder crowdfunding campaign rather than a traditional Reg D round.
Reading the reported numbers
- The public numbers do not match each other.MassDevice reported $250,000 in venture capital raised as of September 2013. CB Insights, in a much later snapshot, lists total funding of $20,000 attributed to Y Combinator. Neither figure is confirmed by a Form D or other primary filing, and the two are five figures apart with no reconciling detail in either source.
- The crowdfunding target was large relative to the seed.A $2 million Wefunder target against a reported $250,000 already raised would have meant an eightfold jump in capital. No source found here states whether the campaign closed, partially closed, or was withdrawn.
- The absence of a Form D is itself a data point.Companies raising under certain exemptions, or raising amounts and through vehicles that did not trigger a federal notice filing, can show no Form D at all. Amulyte’s small reported dollar figures and its 2013 to 2014 timeline fall in the range where that is plausible, but it cannot be confirmed either way from the sources checked.
- PitchBook’s own seed-round entry is incomplete.PitchBook dates a seed round to January 1, 2013 but the amount is not shown in the archived snapshot used for this page; the same snapshot dates the company’s move to out-of-business status at February 1, 2017, four years later.
