Reading the filings
- The only Form D under this name is not this company.Every account of the AI company, from the Y Combinator launch post in November 2024 to KFF Health News in August 2026, names Huzaifa Sial as founder and chief executive. This Form D was signed by a Benjamin Kuhn as CEO, sits in Hayward, and names Or Perluk, a managing director at Essen Health Care in the Bronx, as a director. Tracxn records the identical numbers, $2.68M on Oct 23, 2025, against a provider of in home assistance for seniors and ill adults. Aggregators matching on name alone have merged the two.
- Nothing has been filed by the AI company itself.EDGAR company search returns no issuer named Helpcare, and full text search returns 14 hits for Careforce, of which only the Hayward Form D is a Regulation D notice. Companies that sell under Section 4(a)(2) instead file nothing, so the silence is normal at this stage and says nothing about how much was raised.
- The public totals do not add up.PitchBook lists $500,000 raised to date and three investors. Y Combinator publishes its standard deal at $500,000, and every company in the batch gets it. CHCF separately says it invested $500,000. That is $1.0M from two investors before CRV, whose amount is undisclosed, so the aggregate is at least half a million light.
- Revenue is more visible than capital. One named customer, Kern Family Health Care, has spent about $370,000 on the software per KFF Health News. That single contract sits in the same order of magnitude as each disclosed equity cheque. A public customer number and a private cap table is an unusual inversion this early.
- The investor mix signals the market.A venture firm beside a health foundation innovation fund points at safety net buyers, where a foundation cheque works as a reference as much as a financing.
