Reading the filings
- No Form D does not mean no money.A company can sell securities under Section 4(a)(2) without filing anything, and Y Combinator standard instruments and small seed rounds often go unfiled. Three independent outlets and the company’s own release put the round at $2.3 million on December 13, 2023. The absence of a notice removes the usual detail: first sale date, amount offered versus sold, investor count and named directors.
- The round was sized for about seven hires.Chiu told VatorNews the capital would take the company from two founders to roughly nine people over the next year or so. At New York engineering salaries, seven hires consume most of $2.3M inside two years, which sets the practical clock on the strategy.
- The guarantee was an unfunded liability. The company promised to pay the difference when a bill exceeded the listed price. No reinsurer, stop loss or reserve was ever disclosed, and the founders said on Hacker News that they expected to lose money on payouts for some time. On a $2.3M base, that liability is bounded only by booking volume and by the decision to keep high variance procedures off the site.
- Thirty three months without a raise, and headcount fell.Nothing has been announced since December 2023. Tracxn lists three employees as of August 31, 2026, below the two founders plus seven the company planned. That is the shape of a team that extended runway rather than one that scaled.
- The revenue model changed underneath the cap table. The 2023 business was a per booking fee charged to providers when a new patient showed up. The 2026 business, reached by a redirect from the old domain, is a consumer subscription at $99 for the first month and then $19.99 a month, with a $149 video call add on. Different customer, different unit economics, same capital.

What to watch
- A first Form D. Any Regulation D round would require one within 15 days of first sale.
- Whether Certainly Glow trades under the same entity or a new one.
- Retirement of the provider page and its collection promise.
- CMS rulemaking on good faith estimates and the advanced explanation of benefits, which would commoditize the original product.
