What the filings show
No SEC Form D was found for Clara Health, Inc. or any entity tied to askclara.com in EDGAR company searches for names matching “Clara” and “Clara Health,” including a search restricted to companies located in California and one restricted to companies incorporated in Delaware, as of this research. A separate CIK, 0001606648, is registered to “Clara Health, Inc.” in Seattle, Washington, with a single Form D filed May 5, 2014. That company predates Clara’s 2025 founding by more than a decade and its business address does not match; it is a different entity that happens to share the trademarked name.
Two other entities in EDGAR’s “Clara” name search, CLARA analytics, Inc. and Clara Labs, Inc., are also unrelated: an insurance claims AI company and a scheduling assistant, respectively. A “Clara Series C SPV, a Series of Join Odin Master LP” filed a Form D on September 11, 2026 from a London mailing address; nothing ties it to this company, and Clara has never announced a Series A, let alone a Series C.
Reading the filings
- The $12 million figure is company-reported, not yet confirmed by a filing.A Regulation D issuer generally has 15 days from first sale to file Form D. Clara’s round was announced May 14, 2026; more than four months had passed by this research date with no filing found under the company’s own name.
- The name collision problem is real.“Clara” is a common brand name across fintech, insurance tech and an unrelated 2014 clinical trials startup also called Clara Health. Anyone pulling EDGAR records for this company by name alone risks attributing someone else’s filing to it. None of the Form D filings surfaced in this research were confirmed to belong to the 2025 San Francisco company.
- The corporate structure splits technology from care.Clara’s Terms of Service name Clara Health, Inc. as the operator of the app and five separate professional entities, a PA and PCs for the West, East, Northwest and Midwest regions, as the employers of record for clinicians. A future capital raise could show up under any of these names, or under a parent entity not yet identified.
- The investor list is heavy on angels and platform capital, light on named institutional funds.Outside the two lead investors, Y Combinator and A.Capital, and two named funds, Liquid 2 Ventures and SV Angel, the round’s other participants are listed as individuals. That is typical of a YC-affiliated pre-seed, not a signal of unusual investor composition.

What to watch
- A first Form D under Clara Health, Inc. or a named parent entity, which would confirm the $12M on the public record.
- Any Series A announcement and whether its filed amount matches the press figure.
- Which of the five regional Medical Group entities, or a new one, takes on capital or debt as the company scales its clinician network.
- Whether independent reporting narrows the gap between the company’s Circle Medical revenue claim and Dealroom’s lower figure.
