Reading the filings

  1. The two company filings account for the whole pre-Series B total.$2,513,613 plus $16,350,000 is $18,863,613. When the Series A was announced, Lemberg told Crunchbase News the capital brought the total to $18.9 million, and the release said $19 million. Filings and statements agree to within about $40,000.
  2. The Series A was announced at $15M and filed at $16.35M.Nineteen investors, about $860,526 each, fully sold with nothing remaining. The $1.35 million above the headline is the ordinary shape of a round that closed larger than it was pitched, or of earlier notes converting into it.
  3. The $40 million Series B has no Form D.Nothing has been filed under CIK 0001757561 since July 1, 2021, and an EDGAR full text search for the company name returns exactly three Form D filings: two from Curebase, one from the Gaingels vehicle. Issuers selling under Section 4(a)(2) file no Form D at all, so silence is not evidence the round did not close. It does mean the $40 million figure, and the $59 million total built on it, rest on the announcement and the trade coverage of it, with no filed confirmation.
  4. The syndicate priced in seven weeks before the news.Gaingels Curebase LLC took its first sale on March 18, 2022 and filed on March 25. The Series B was announced May 5. Twenty-five people put in $247,000, about $9,880 each, at a $1,000 minimum. Gaingels is named in the Series B announcement as a participant, so the vehicle is the retail end of an institutional round.
  5. The board is only on record through 2021.The 2018 filing lists Thomas Lemberg alone. The 2021 filing adds Jeff Richards, matching the announcement that the GGV Capital managing partner would join the board. Because no Form D followed, the Series B board, including whatever seat Industry Ventures took, never appears in a filing. Lemberg left the chief executive seat in April 2025.
  6. Headcount, not capital, is the clearest signal.Fierce Biotech put the company near 82 employees before the August 2023 layoffs that ended its clinical operations business. The Y Combinator directory lists 27 as of September 2026, and a Fort Lauderdale base rather than San Francisco: a two-thirds reduction against no new announced funding in four years.

What to watch

  • Any Form D. One is due within 15 days of the first sale of a Regulation D offering, and none has been filed in more than five years.
  • Whether Sitebase is spun out. Its website is published under the name Sitebase Inc., its chief executive is Curebase’s, and no company by that name appears in SEC records.
  • A named sponsor customer, or any revenue disclosure. The last figures the company published were 2022 activity counts.
  • Whether the $59 million lifetime figure is ever restated. It has not moved since May 2022.
