Reading the filings

  1. The private round was four large cheques.$1,175,000 divided among 4 investors is $293,750 each. That is institutional or family office size, not an angel list, and it matches a board seat going to a former Philips Healthcare executive.
  2. The Form D was filed about 35 months late.The notice reports a first sale on January 11, 2017 and was filed on December 9, 2019. Rule 503 calls for filing within 15 days of the first sale. The filing date lines up with the first Republic campaign, which suggests the notice was prepared because a portal required a clean record rather than at the time money moved.
  3. Each crowd round was smaller than the last.$1,070,000 in 2020, then $288,398.77 in 2022, then $219,259.46 in 2022. The valuation moved the other way, from a $10 million cap to $22 million. Raising less at more than twice the price is the signature of a round priced on a story rather than on demand.
  4. The reported and the filed totals differ.Kingscrowd records $347,498 for the StartEngine round and $204,059 for the December 2022 Republic round. The issuer’s own Form C-U filings state $288,398.77 and $219,259.46. Commitments that are cancelled or fail to clear explain a gap in one direction, not both.
  5. The 2022 balance sheet does not behave like an operating company.Total assets rose from $253,337 to $1,445,405 while cash stayed near $87,000 and the annual loss fell to $37,205. A near sixfold jump in assets with almost no cash and almost no spending points to something non-cash carrying the balance sheet, most plausibly capitalised development or intangibles, not to a business buying equipment and hiring.
  6. The crowd paid about $300 each.$1,577,658 across the three crowdfunding closes, against the company’s own count of more than 5,250 investors, averages roughly $300 a head. Those holders have no information rights and no board seat, and the annual report that would have told them anything stopped after fiscal 2022.
