Reading the filings

  1. About a ninth of the claimed capital is on file. The two notices sold $329,918 and $2,352,978, or $2,682,896 together. Against a reported total above $25 million that is roughly 11 percent. The remainder left no Form D under the company’s own CIK.
  2. Both offerings closed short of target. The 2012 notice sold 63 percent of what it offered and the 2015 notice sold 90 percent. Neither was ever amended to close the gap, and no amendment exists to record later sales into either offering.
  3. The checks are angel sized, not fund sized.Nine investors averaged about $36,700 in 2012 and twenty three averaged about $102,300 in 2015. Those averages fit the AngelList and SecondMarket syndicate route that MobiHealthNews described in February 2015, not a priced institutional round.
  4. Form D undercounts this company by design. An issuer raising under Section 4(a)(2) files nothing, and syndicate vehicles file under their own names rather than the company’s. The reported 2014 seed of more than $1.5 million and the 2016 raise both fall in that blind spot. The absence of filings is not evidence that the money did not move.
  5. The cap table is invisible and the board never widened on paper. The 2012 notice named Gleason plus one director, Patrice Krakow. The 2015 notice names Gleason alone, as executive officer, director and promoter. No venture investor ever appears in a related persons box, which is unusual for a company said to have taken $25 million.
  6. The issuer address never moved.EDGAR still lists 18 Lansing Street, Apt. 401, San Francisco for Eligible Inc., although the company has operated from Brooklyn since roughly 2016. Nothing has been filed that would update it.

What to watch

  • A Form D for any financing after January 2015, which would be the first filed evidence of the money the company says it raised.
  • An amendment to either open offering, each of which still shows an unsold remainder.
  • Renewal of HITRUST r2 and NIST CSF v1.1, both of which lapse in May 2028.
  • Any named customer or updated volume figure after the March 2023 blog post.
  • Whether well funded entrants selling the same HIPAA transactions force a public response from a company that has not marketed itself in eight years.
