What the filings show
No Form D appears under the names “Eos AI,” “Helloeos,” or the founder Arya Khokhar in SEC EDGAR’s company search or its full text search, checked September 25, 2026. Full text search for the phrase “Eos AI” across all SEC forms returns three results, all belonging to Arista Networks and NVIDIA earnings materials that happen to reference the unrelated Eos AI supercomputer product, not this company. There is no notice of exempt offering on file for this Eos AI at any amount.
Reading the filings
- The $500,000 figure looks like Y Combinator’s own check, not a separate round. Both Tracxn and PitchBook list the amount as $500,000 with Y Combinator as the sole investor. That number matches the standard investment Y Combinator has made in its batch companies in recent years. Neither aggregator states outright that this is the accelerator’s standard deal rather than an outside seed round, but the amount, the single investor, and the timing around the W26 batch all point the same way.
- The two aggregators do not agree on what kind of deal it was.Tracxn calls it a “Seed” round dated January 1, 2026. PitchBook calls it an “Accelerator/Incubator” deal dated March 10, 2026, and classifies Eos AI’s status as “Generating Revenue.” A January 1 date on a private company record is often a placeholder for “sometime in that year” rather than an actual closing date, which is one likely reason the two dates are more than two months apart.
- No Form D means no confirmed count of investors or an exemption used.A company can raise money under Section 4(a)(2) of the Securities Act without filing a Reg D notice at all, so the absence of a filing does not prove no money moved. It does mean the $500,000 figure rests entirely on two commercial data providers, neither of which discloses its sourcing method on the free page reviewed here.
- Headcount is consistent with a very small operation.Tracxn counts 1 employee as of July 2026. PitchBook counts 2. Either figure is consistent with a solo founder who has, at most, made one hire since the company’s 2025 founding.
- No press release names a round size.Unlike companies that put out a funding announcement with a lead investor and a headline number, Eos AI’s own Y Combinator launch post talks about product results, not capital raised. The only dollar figures on record come from third-party aggregators, not the company.

What to watch
- A Form D or other SEC filing that would confirm an amount, an exemption, and named investors.
- Whether Eos AI raises and announces a priced round beyond its Y Combinator investment.
- Whether Tracxn or PitchBook revise their classification of the $500,000 figure.
- Any named clinic customer or published outcome data behind the reported productivity and revenue numbers.
