Reading the filings
- The vehicle closed before the launch.First sale was Dec 21, 2024, about seven weeks before HealthKey’s public Y Combinator launch post in February 2025. The pre-seed money was in hand before the company went public with its product.
- Small checks, wide base.$484,833 came from 32 investors, about $15,151 each. That pattern, many similarly sized checks with no lead named in the filing, reads as an angel or syndicate round rather than a single institutional lead.
- The filer name is not the company name. The Form D issuer of record is “HealthKey Pre Seed I Oct 2024, a Series of CGF2021 LLC,” a Sydecar-administered special purpose vehicle, not “HealthKey, Inc.” An EDGAR company-name search for “healthkey” returns only this one filer. Companies that raise entirely through an SPV or under Section 4(a)(2) instead of Regulation D can show no Form D at all under their own name, so the gap does not by itself mean no other money moved.
- Announced and aggregator totals are close to the filed amount.PitchBook and VCBacked separately put HealthKey’s total funding at about $500,000, close to the $484,833 shown in the SPV filing. That suggests the SPV may account for most or all of the outside capital raised to date, though neither aggregator cites a primary source beyond general company data.
- The founding year does not match across sources.PitchBook’s profile for the Austin, TX HealthKey lists 2023 as the year founded, while Y Combinator’s company page and HealthKey itself give 2025, consistent with its Winter 2025 YC batch. No later filing or announcement resolves the difference.
- No second Form D has appeared. As of this page, no additional Form D, amendment, or new SPV naming HealthKey has been filed since January 2025, despite a growing list of company-published customer deployments through 2025 and 2026.

What to watch
- A Form D filed under HealthKey’s own corporate name, which would indicate an institutionally led round.
- A named lead investor. None appears in the SPV filing or in aggregator profiles.
- Independent confirmation from any of the named customers or sponsors.
- Resolution of the 2023 versus 2025 founding-year discrepancy between PitchBook and the company.
