What the filings show
No Form D, and no other SEC filing of any kind, was found under “Healthlane,” “Healthlane by GiftedMom Limited,” or “GiftedMom” in an SEC EDGAR full text search run in September 2026. Records.json for this company, which is built from parsed SEC Form D and EDGAR mention data, is also empty on every field: no 510(k), no PMA, no registered trial, no NIH or NSF award, no PubMed hit, no Form D. Everything below comes from press accounts of the round and from reporting on the company’s later debts, not from a regulatory filing.
Reading the record
- No US filing exists for a round with US participants.Sequoia Capital and Silicon Valley Bank are both named as investors in the 2020 seed round by Digital Horizon’s own announcement and by Techpoint Africa’s contemporaneous reporting, yet no Form D appears for the raising entity. A round can close without a Form D if it relies on a different exemption or if the filing obligation sat with a fund vehicle rather than Healthlane itself; the absence here does not by itself prove the money did not move, only that no public filing recorded it.
- The headline number moved after the fact.Contemporaneous 2020 coverage put the round at $2.4 million. In a podcast interview recorded in mid-2022, Nteff called the same round “$2.5 million.” No filing exists to say which figure is correct.
- YC’s number is the only one with a fixed structure.$150,000 for 7% equity is standard for a Y Combinator check of that era and implies a post-money valuation near $2.14 million at admission, before the seed round closed.
- A named grant cannot be confirmed as received.Google publicly named Healthlane to its Black Founders Fund cohort on September 6, 2022, with $50,000 to $100,000 in equity-free funding plus cloud credit. Multiple former employees told TechCabal they learned of the award online and saw no evidence it reached the company’s bank account, a gap that has not been resolved in any later reporting found.
- Debts outran the visible use of the raise.By late 2022 and into 2023, reporting documented a $400,000 unpaid loan from Infiuss Health’s CEO, unpaid Cameroon office rent of roughly $13,300 for 2022 plus further months into 2023, an unpaid travel agency bill of about $15,000, and unremitted taxes and pensions, all against a company that had publicly reported closing a $2.4 million round less than two years before.
- No further round followed.No Series A, bridge financing or later Form D appears in any source found. The company’s own April 2023 email to subscribers described a “business model” change rather than a financing event, and no funding announcement has followed it.
