What the filings show

There are none in the United States. An EDGAR company search for Inito returns no matching companies, and a full text search for the exact phrase returns zero documents. No Form D, no Form D amendment, no investment vehicle formed around the company.

That is the expected result rather than a red flag. Regulation D governs securities sold into the US market. Inito raised into Indian entities from mostly Indian and Asian investors, and the 2025 lead, Bertelsmann India Investments, invests from India. Filings for this company sit with the Ministry of Corporate Affairs, not the SEC.

The only US federal records naming the company are regulatory, not financial: an establishment registration and device listing for Inito Health Tech Private Limited, registration 3038290392, listed May 7, 2025, under product code NGE, plus four Indian contract manufacturers that have listed Inito strips or readers since October 2020.

Reading the filings

  1. The totals do not reconcile.TechCrunch put pre-Series B funding at $15M in November 2023, made of $9M early money plus the $6M Series A. Add the $29M Series B and the arithmetic gives $44M. The company and four outlets say $45M. DC Advisory, which ran the sale side, says $48M. The $3M gap between the adviser and the issuer is unexplained.
  2. Nine years to the first institutional cheque.First money in late 2014, first named venture lead in November 2023. Rai told Moneycontrol in 2020 that he had reached out to angel investors who have patient capital, and that he was not looking for more equity rounds. That is a long bootstrap for a hardware and assay company.
  3. Growth decelerated into the round.VCCEdge figures put FY24 revenue at ₹53.17 crore, more than double the prior year, and FY25 at ₹67.6 crore, up 27 percent. The Series B closed on that slowing curve, and the pitch it closed on was a platform story about AI engineered antibodies rather than a fertility growth story.
  4. There is no regulatory moat.No 510(k), no PMA, no De Novo. The device is marketed under a Class I exemption in product code NGE, which any competent competitor can also register into. The adviser describes the moats as IP and technology, and the company claims more than 20 patents. None of that is a barrier a regulator enforces.
  5. Manufacturing is contracted and it moves.Four different Indian contract manufacturers have appeared on FDA listings for Inito products between October 2020 and February 2026. Capital efficiency comes partly from not owning the line, and so does supplier concentration risk.

What to watch

  • Whether the $45M and $48M totals are ever reconciled in a later disclosure.
  • FY26 revenue. A second year in the twenties would make the platform pivot the whole story.
  • Whether any new test needs a 510(k). A cleared assay would change the moat argument and the cost base at once.
  • Whether a US issuer is ever formed. A Form D would be the first sign of a US flip ahead of a later round.
  • Granted patents behind the claim of more than 20.
