What the filings show

Nothing. A search of SEC EDGAR’s company database for Form D filers named “Joon,” “Joon Health” and “Joon App” returns no entity that matches this company. The handful of similarly named filers on EDGAR, a “Joon Leonis” special purpose vehicle, “JOON Pro Inc.,” “Joonbug Exploration Fund,” a “Jooni” SPV, and “Joonko Diversity Inc.,” are unrelated businesses that happen to share a syllable. Neither the $2.1 million seed nor the $6.4 million round that followed it has a Form D behind it as of this search.

Reading the record

  1. Two rounds, two separate reports, no cross-check.The $2.1 million seed comes from one local business profile in October 2022. The $6.4 million round comes from one independent blog post in October 2023. No press release, filing or second outlet was found repeating either figure, so both numbers rest on a single source each.
  2. A missing Form D does not prove no money moved.Companies raising under Section 4(a)(2) of the Securities Act, rather than the Regulation D safe harbor, file no Form D at all. Given two reported priced rounds and no filing for either, that is the more likely explanation here, though it cannot be confirmed from the public record.
  3. The investor list changed completely between rounds.The 2022 seed names Y Combinator, Goodwater Capital and Cathexis Ventures. The 2023 round names MaC Venture Capital, Dune Ventures, Blue Lion Global and North South Ventures, an entirely different set of firms, consistent with a new lead group coming in for a later round rather than the same investors writing a bigger check.
  4. No non-dilutive capital on record.No NIH or NSF grant to Joon Health, Joon App or Joon App, Inc. was found, so unlike some digital health peers, none of the company’s reported capital appears to be federal grant money.
  5. A geographic detour.Around the time of the 2022 seed round, the founders were based at Brickyard, a venture-backed incubator in Chattanooga, Tennessee, rather than in the San Francisco location the company now lists.
