What the filings show
No SEC Form D notice was found for this company under the names Latent Health, Latent Inc or Latent Technologies. An EDGAR company search for filers named “Latent” that filed Form D returns two companies, Latent Knowledge Solutions Inc. of Connecticut and Latent Labs Technologies, Inc. of Delaware, neither of which mentions healthcare, pharmacy or prior authorization. A separate single-purpose entity, FW Latent Defense Seed Apr 2026, a Series of CGF2021 LLC, filed a Form D in April 2026 but its name points to a defense-related deal, not to this company. None of these filers can be tied to Latent Health on the evidence gathered here.
That does not mean no capital moved. Companies raising under Section 4(a)(2), or a round still inside the 15 day Form D filing window, would not yet appear on EDGAR. It means only that, as of this page’s research date, the $80 million round rests entirely on the company’s own announcement and on press coverage that repeats the same figure, not on a federal filing.
Reading the record
- Every outlet agrees on the headline number.Forbes, MobiHealthNews, The SaaS News, Pulse 2.0 and American Kahani all reported $80 million, co-led by Spark Capital and Transformation Capital, within about a week of each other in March 2026. That kind of agreement across independently reported outlets is unusual for a private round and suggests the figure came from a common press packet, not that it is unverified.
- The investor list is not identical everywhere.MobiHealthNews and The SaaS News name McKesson Ventures as a participant. Latent’s own press release lists “Transformation Capital, Spark Capital, Conviction, General Catalyst, Y Combinator, and others” and does not name McKesson Ventures. McKesson owns CoverMyMeds, which announced a product partnership with Latent around the same period, so a McKesson Ventures check would fit the commercial relationship, but the company’s own materials do not confirm it by name.
- Valuation and revenue rest on one anonymous source. The approximately $600 million valuation and the more than $20 million in annualized revenue both come from Forbes, the valuation attributed to “a person familiar with the deal” and the revenue figure stated without a named source. No other outlet in this research independently reproduced either number.
- No Form D means no independent confirmation of deal mechanics.Without a filing, there is no public record of how much was actually sold versus offered, how many investors participated, or who holds board seats. Everything in the rounds table above is a reported or company-stated figure, not a filed one.
- The company’s paper trail before the Series A is thin.Latent went through YC’s Winter 2023 batch and had grown to four health system customers by the time it engaged Ochsner Health as a design partner in November 2023, implying an earlier seed round, but no source found here discloses its size or investors.
