Reading the filings
- The paper trail is press, not filings.Every dollar attributed to Metriport comes from a TechCrunch story, a company blog post or an August 2026 press release. There is no Form D to check any of it against, and no CIK under which a future one would appear.
- That absence is lawful, and it is informative.An offering made under Regulation D requires a Form D within 15 days of the first sale. An issuer that instead relies on the Section 4(a)(2) private placement exemption files no notice at all. Both routes are legal; only one leaves a public record. Given a seed written entirely on post-money SAFEs, the second is the likelier explanation for the silence.
- The totals reconcile exactly.$2.4M plus $26.0M is $28.4M, the figure the company gives for money raised to date. The arithmetic leaves no room for an undisclosed priced round between December 2022 and August 2026, a gap of 44 months on a seed of $2.4 million.
- The step up is large and unpriced.The 2026 round is about 10.8 times the seed. The 2022 seed carried a stated $20 million valuation. The 2026 release carries none, and does not name a stage. One report notes the absence of both; other trade coverage the same day called it a Series A.
- No non-dilutive money appears.Searches of NIH RePORTER and NSF awards return nothing. Unlike device and diagnostics companies at this stage, Metriport has funded itself entirely on equity and network revenue.
