Reading the filings
- The absence of a Form D is the finding.A Regulation D offering requires a Form D within 15 days of the first sale. Four rounds totaling $215 million produced none, and EDGAR full text search returns no document naming Nourish, Inc. at all. The likely reading is that every round was placed under Section 4(a)(2), the exemption that carries no federal notice. Nothing about the capital is attested to a regulator.
- The announced totals reconcile, with one $1 million seam.$9.3M after the $8M seed implies about $1.3M before it. $44M after the $35M Series A implies $9M prior, against $9.3M reported 14 months earlier. $115M after the $70M Series B implies $45M prior, about $1M above the March 2024 figure. $215M after the $100M Series C implies exactly $115M prior.
- The markup came fast.Series B was reported above $1 billion in April 2025 by four people with knowledge of the round; the company declined to comment. Thirteen months later Axios reported $1.75 billion. That is roughly a 75 percent markup for $100 million of new money, about 5.7 percent dilution if the Axios figure is post-money.
- One investor carried the company between firms.Paris Heymann was an Index Ventures partner on the Series A, left Index in October, and led the Series B at J.P. Morgan Growth Equity Partners. Thrive, Index, Y Combinator, Maverick and BoxGroup appear in every round since. The lead changed each time; the syndicate did not.
- Only one board seat is on the record. The Series C release says Menlo partner J.P. Sanday joins the board. No other director is named anywhere, and with no Form D there is no filed list of related persons.
- Profitability rests on one unnamed source.Business Insider reported in April 2025, citing a source familiar with the company, that Nourish did not need the Series B and was profitable. No financial statement is public and no later report repeats it.

What to watch
- A first Form D, the first capital figure attested to a regulator rather than a reporter.
- Whether the network count settles: over 6,000 in February 2026, 9,000 on the home page, 10,000 in May.
- The Podraza docket, now past the pleading stage on two claims.
- Whether any payer or employer publishes measured savings rather than the company’s modeled figure.
- A peer reviewed publication, which would move the outcomes claims off company white papers.
