Reading the filings

  1. The cheques got bigger as the names got fewer.2018: $51,492,758 from 31 investors, about $1.66 million each. 2020: $123,010,086 from 25, about $4.92 million each. 2025: $44,282,650 from 19, about $2.33 million each. 2026: $19,794,945 from 5, about $3.96 million each. Five investors at about four million apiece is an insider supported round, not a syndication.
  2. Three of the four filings were late.A Form D is due within 15 days of the first sale. The 2018 notice came 150 days after its first sale, the 2020 notice 62 days after, and the 2025 notice 371 days after. Only the March 2026 filing, 9 days after, landed inside the window.
  3. The Series C was a year old before the public heard of it.Money first moved on March 8, 2024. Endpoints News reported the round and the new chief executive on February 18, 2025, the Form D followed on March 14, and the San Francisco Business Times wrote it up four days after that. The filing is the only document that fixes the size at $44,282,650.
  4. The rename shows up as a registrant name, not as a filing.CIK 0001736153 carries both: Atomwise Inc. on the 2018, 2020 and 2025 notices, Numerion Labs, Inc. on the 2026 one. There is no separate SEC record of the change.
  5. The 2018 notice is $6.5 million larger than the announced round.Press reports put the Series A at $45 million. The Form D reports $51,492,758 offered and the same amount sold, nothing remaining. The gap is about the size of the seed raised before it, consistent with earlier instruments folding in.
  6. The board on file is larger than the board on the website. The March 2026 notice names six directors. The company team page, checked September 22, 2026, lists four: Worland, Varney, Mittendorf and Seabrook. Izhar Wallach and Linda Maxwell appear only in the filing, and Wallach drops from executive officer in 2025 to director in 2026.
  7. Nobody was paid to sell it.All four filings report no sales compensation, no finders fees and no minimum investment, and all four decline to disclose a revenue range.

Commercial signals

Signal Detail Source type
Partnerships Eli Lilly, June 2019: up to $1 million per target for as many as 10 targets, plus up to $550 million in milestones. Sanofi, August 2022: $20 million upfront for up to five targets, more than $1 billion in milestones. Nothing new since. Independent
Deal value claim By August 2020 the company said it had signed more than $5.5 billion in total deal value with corporate partners. Those are milestone ceilings, not cash. Company-stated
Pipeline One development candidate, ATMW-DC, an allosteric TYK2 inhibitor. Preclinical data presented in 2024. No registered trial as of September 22, 2026. Public record
Headcount 55 employees in August 2020; a 30 percent cut in December 2022; the Y Combinator directory lists 67. Independent

What to watch

  • A notice closing the $15,205,055 left unsold in the March 2026 offering, 43 percent of it.
  • Whether any Form D ever names a placement agent. None of the four has.
  • Investment vehicles formed around the company. EDGAR shows none.
  • Any milestone payment that turns the partnership ceilings into cash.
  • An IND or trial registration for ATMW-DC, which would change the financing story more than anything above.
