Reading the filings
- No Form D was ever filed.A Y Combinator company that raised institutional money from Founders Fund, Mayfield and DCM left no Regulation D paper trail at all. EDGAR returns no company by this name. That is legal and common for rounds sold under Section 4(a)(2), but it means every equity figure here comes from the company rather than from a filing.
- The only price on the record is a combined one.BD reported $415 million of acquisition cash for the quarter and named three targets in the same sentence: Scanwell, Tissuemed and Venclose. Divided evenly that is about $138 million each, which no one should treat as the answer. The fiscal 2022 annual report adds MedKeeper to the same grouping, so even the denominator is soft.
- Federal money was about a third of the total.$1,603,081 from NIEHS against $3.5 million of announced equity and $120,000 from Y Combinator gives roughly $5.22 million of identified funding, of which 31 percent was non-dilutive. The grant was for a chronic kidney disease test, not for the product that was selling.
- The seed round was the last one announced. From November 2019 to the December 2021 sale, no further raise was announced. The February 2021 BD collaboration, then the August 2021 authorization, then the purchase, occupy the space where a Series A would normally sit.
- The clearance that anchors the value belongs to someone else.510(k) K170118, the over-the-counter smartphone urinalysis clearance, is filed under Teco Diagnostics of Anaheim, the founder’s family firm, and the 510(k) summary states that the four underlying patents are held by Teco. No clearance exists under the Scanwell name.
- The entity has outlived the product. The BD Veritor At-Home test lost its authorization in June 2023, yet Scanwell Health, Inc. still appears in BD’s fiscal 2025 subsidiary exhibit and then moves to Augusta SpinCo, and so to Waters, in February 2026.

What to watch
- Whether Waters Corporation says anything about the platform it inherited in February 2026.
- Any change of applicant on 510(k) K170118, which would move the clearance to the corporate owner.
- A new 510(k) or emergency use authorization naming Scanwell or its app.
- A first Form D, which would only appear if the entity ever raises outside capital again.
