Reading the filings

  1. There is nothing to read, and that is the finding. An EDGAR full text search returns zero documents for the company name, and the only registrant that matches is a 2008 Nevada gold shell. Both announced rounds were small and investor counts were low, so a Section 4(a)(2) private placement with no Form D notice is the ordinary explanation. It also means every dollar figure on this page comes from a press release rather than a filing.
  2. The totals do not agree.$1.3M plus $2.2M is $3.5M, which is the figure TechCrunch used in January 2024 and The Business Journals repeated in June 2025. CB Insights carries $4M with a last raise of $2.2M. The $500,000 difference is unexplained and unfiled.
  3. The name is a trap for databases. One venture data aggregator lists this company with a June 2021 Pillar VC round, StartX, and an August 2021 round led by VoLo Earth Ventures, a climate investor. None appear in any Shimmer ADHD announcement. Investor lists here should be taken only from the two dated releases.
  4. Revenue arrived before the second round closed.Business Insider reported in January 2024 that the company had gone from zero to $1 million in annual recurring revenue with two full time employees, the two founders, with coaches engaged as contractors. Against $3.5 million raised, that is roughly $0.29 of revenue per dollar of capital at the time of the raise, with essentially no payroll.
  5. The unit price has risen 2.4 times while the session got twice as long.October 2022: $99 a month for a fifteen minute weekly call. January 2024: $140, $230 and $345 tiers. 2026: one plan at $240 every four weeks for thirty minute weekly sessions. Four week billing means thirteen charges a year, so $3,120 annually rather than the $2,880 that twelve monthly payments would imply, about 8 percent more.
  6. The positioning claim has drifted. The Y Combinator listing still reads 5 to 10 times more affordable than alternatives, a claim built on the $99 plan. The company’s own pricing page now says most ADHD coaching costs $300 to $700 or more a month and that Shimmer is nearly half the price. Against the $150 an hour average reported in JAMA Network Open, nearly half is the defensible number and 5 to 10 times is not.
  7. Thirty two months without a raise. The last announced round closed in January 2024. For a company with recurring consumer revenue and contractor costs, that is as consistent with reaching break even as with a hard market for consumer mental health.

What to watch

  • A first Form D, which would be the earliest public sign of an institutional round.
  • Any updated revenue or member figure. The session counter is the only metric kept current.
  • Whether Indy gets a price, or stays a funnel into coaching.
  • An employer or payer contract, promised as a use of funds since January 2024 and not yet announced.
  • Publication of the outcomes study, which would change what the company can claim.
