What the filings show
SimplyInsured · no federal securities filing on record · searched Sep 23, 2026
- Form D
- None. No Regulation D notice has been filed under any spelling of the name.
- EDGAR company record
- None. A company name search for simplyinsured returns no matching companies.
- Full text search
- One hit for the string SimplyInsured across all EDGAR filings since 2001, in an unrelated crowdfunding annual report by Hempitecture Inc. Nothing by or about this company.
- Acquirer filings
- No Intuit Inc. filing mentions SimplyInsured or Simply Insured. Intuit is a reporting company on NASDAQ under INTU, so a material acquisition would normally appear.
- Implication
- The rounds were placed outside Regulation D, or under exemptions that carry no federal notice, with state filings only.

Reading the filings
- The seed numbers are cumulative, not additive.A $750,000 seed was announced in October 2013 and a $1.75 million seed in April 2015. TechCrunch put total capital at $7.7 million immediately after the June 2015 Series A. Since $1.75M plus $5.9M is $7.65M, the 2013 money sits inside the $1.75M figure rather than beside it.
- The company’s own total is about $2.3 million higher than the press record. The about page claims more than $10 million raised. Reported rounds support $7.7 million. Tracxn carries $8.5 million across four rounds, Wellfound $8.4 million across three. No filing exists to settle the difference, and no later round has ever been announced.
- Eleven years without an announced raise is the loudest number on this page. The last dated round is June 30, 2015. For a brokerage that earns recurring commission per group placed, that is consistent with a business that reached cash breakeven and stopped needing outside money. It is equally consistent with a business no one wanted to fund. The public record does not distinguish between the two.
- No Form D means no investor count and no average check. For most companies this page would divide amount sold by investor count. Here there is nothing to divide. The only investor lists that exist are the ones in press releases, and press releases name winners, not amounts.
- One board seat is documented and only one.Gary Swart of Polaris Partners joined the board at the Series A in June 2015. No later board composition, departure or replacement was found in any public source.
- The largest distribution channel was lost, not bought.Intuit is frequently described as having acquired this company. It did not. Intuit named it an integration partner in August 2019, signed Allstate Health Solutions in November 2023, and ended support for the SimplyInsured integration in QuickBooks effective August 31, 2024. A revenue channel closed; no equity changed hands on the record.
Commercial signals
| Signal | Detail | Source type |
|---|---|---|
| Licensure | Published agency licenses in 48 states and the District of Columbia plus national producer number 17197729. Massachusetts and Wisconsin are absent from the agency table; the founder’s individual licenses cover all 50 states. | Company-stated |
| Carriers | Over 200 major carriers per a partner help center. Kaiser Permanente and Anthem Blue Cross named in 2015 reporting; UnitedHealthcare named in a 2026 complaint record. | Independent and partner |
| Distribution | Square Payroll 2018, Intuit QuickBooks 2019 to Aug 2024, Check 2022, Gusto Embedded Jan 2024, Toast Payroll Pro, Patriot Software Nov 2025. Separate channels for Sam’s Club and Carta. | Partner-stated |
| Revenue model | Recurring monthly commission per group placed, paid by the carrier. Services described as free to the employer. | Company-stated |
| Scale | 25,000 customers insured and 90 or more employees claimed on the about page. Tracxn lists 47 employees as of Aug 31, 2026. | Claims disagree |
| Complaints | 13 Better Business Bureau complaints over three years, 2 closed in the last 12 months. No state insurance department action found. | Public record |
What to watch
- A first Form D. Any priced round would normally produce one within 15 days of first sale.
- Whether Patriot Software and Gusto Embedded volume replaces the lost QuickBooks channel.
- Any change of control. A brokerage with fourteen years of licensure and a commission book is a natural roll up target.
- State insurance department filings, the failure mode that ended the Zenefits brokerage.
