Reading the filings

  1. The filing is bigger than the round. The Form D reports $40,145,500 sold. The press release six weeks later announced $25 million. The $6 million seed plus the $25 million Series A comes to $31 million, leaving $9.1 million unexplained by the two announced rounds. MedCity News put total capital raised at $40 million, which matches the filing rather than the headline. A Form D that shows the same figure offered and sold with nothing remaining is what you get when a filing sweeps in earlier tranches or converting notes alongside the new money.
  2. The checks are institutional size.$40,145,500 across 51 investors is about $787,167 each. That is a fund-sized average, consistent with the eight named venture and strategic investors plus a tail of smaller participants, not an angel crowd.
  3. The money was in before it was news.First sale Sep 9, 2024. Form D filed Sep 24. Announcement Nov 19. The round was closed and reported to the SEC 71 days before the press cycle.
  4. The earliest money on record predates the company’s own launch story. On Jan 31, 2020, a Delaware pooled fund called Synapticure SPV I, LLC took $1,000,000 from a single investor. It lists the same telephone number as the company’s 2024 Form D. The company dates its launch to February 2022.
  5. The board on paper is founders plus the lead.Directors named in 2024: Sandra Abrevaya, Brian Wallach, Jason Langheier and Adam Seabrook, the B Capital partner quoted as lead investor in the November release. No seat is listed for GV, which led the seed.
  6. An eighth of the capital came from NIH.$5,175,078 of grants against $40,145,500 of equity is about 11.4% of the $45.3 million total, and it funds a stem cell laboratory rather than the clinic.

What to watch

  • A Form D for any raise after September 2024. Two years have passed with no new filing.
  • An amended Form D, which would settle whether the $40.1 million included converting earlier paper.
  • Whether CMS publishes participant-level GUIDE results.
  • Whether the strategic investors turn into named payer or health system contracts.
  • What happens to the organoid laboratory when the NINDS award ends in 2027.
