Reading the filings
- The Series A was largely closed before it was announced. The Form D records a first sale on December 12, 2022 and was filed February 22, 2023. The company announced a $15 million Series A on May 9, 2024, about 15 months later. The $14,135,000 offered sits within $865,000 of that number. Either the filing covers that round, in which case the news was old when it broke, or a separate $15 million round carried no Regulation D notice.
- Ten checks, about $1.38 million each.$13,754,980 divided by 10 investors is $1,375,498 apiece, institutional sizing consistent with the four firms later named. The filing names no investor, only five related persons.
- The Series B has no Form D.A notice is due within 15 days of first sale. As of September 22, 2026, almost four months after the announcement, EDGAR shows one filing under CIK 0001962627. An issuer selling under Section 4(a)(2) files nothing, so the silence does not mean the round failed to close. It does mean the $22 million rests on the company release and reporting drawn from it.
- The filing contradicts itself on investor type. The issuer answered yes to selling to non-accredited investors, then put the number of non-accredited investors at zero. One answer is wrong, and no amendment has been filed.
- The board on file is investor-weighted.Three of the five related persons are neither founder: Sameer Brij Verma, a managing director at Nexus Venture Partners, plus Sajjan Rajpurohit and Devtosh Kumar Khare. Battery Ventures principal Brandon Gleklen joined with the 2026 round, which no filing reflects. The registered address is still San Francisco.
- No public money anywhere. No NIH grant, no NSF award, no FDA submission, no registered trial. For a company selling into NCI-designated cancer centers, the capital base is entirely private and the evidence base investigator-initiated or company-funded.

What to watch
- A Form D for the Series B, or confirmation it used Section 4(a)(2).
- An amendment correcting the non-accredited investor answer on the 2023 filing.
- Whether the 2024 Series A is ever reconciled with the 2023 offering.
- A revenue figure or customer count that does not come from the founders.
- Whether the Texas Oncology investment is disclosed in future outcome studies.
