Reading the filings

  1. The Series A filing is bigger than the Series A.TechCrunch reported $17M. The Form D shows $19.94M sold to 38 investors. The $2.94M difference is close to the $3M seed. A likely explanation is that seed SAFEs converted into Series A preferred stock in the same offering, which would also explain the high investor count, since the seed included several individual angels. The filing does not say this; it is our reading.
  2. The Series B matches almost to the dollar.$26,999,987 sold to seven investors, about $3.86M each. That is a tight institutional round, consistent with the syndicate named: Craft, Highland, 137 Ventures, Cooley, The Altman Fund and Struck.
  3. EDGAR saw both rounds first.The Series B Form D was filed June 12, 2023, four weeks before the July 10 announcement, with a first sale on April 24. The Series A filing on July 21, 2021 also landed before TechCrunch’s story in early August.
  4. The board grew with the money.In 2021 the directors were Macario, Rajkumar and Jack Altman. By 2023 they included Brian Murray, Craft Ventures’ partner and COO, who is quoted in the Series B release, and Will Su, whose affiliation the filing does not state.
  5. Quiet since 2023.No Form D since June 2023, and no SPV filings naming Verifiable in an EDGAR full-text search. At the Series B, Macario said the company was focusing on “operational efficiency and our path to profitability.” The next filing, or a long absence of one, will show which way that went.
