Reading the filings
- The announced rounds add to $24.8M, not $25M.$1.6M plus $7.2M plus $16.0M is $24,800,000. The company boilerplate says $25 million. The gap is within rounding, but it also means no undisclosed round is hiding inside the headline number.
- No Regulation D trail at all.Three priced rounds and an acquisition have produced no Form D under any Vitable name. Issuers that sell only to a small set of accredited investors can rely on Section 4(a)(2), which carries no filing duty, so the absence is lawful and common. It also means there is no public record of investor counts, first sale dates or amounts actually sold.
- The total has not moved.Every release from May 2025 through December 2025 repeats the same $25 million figure, including the ones announcing the Liferaft acquisition in May 2025 and the platform expansion in October 2025. Either the acquisition was paid from the Series A and existing cash, or a later raise has not been announced.
- Lead investors rotate rather than stack.SoftBank Opportunity Fund led in 2020, First Round led in 2021 with more than 80 percent of the round, Cherryrock led in 2024. First Round and Commerce Ventures and Y Combinator returned; SoftBank did not appear in the Series A investor list, though it stays in the boilerplate.
- The acquired company had raised nearly half what the acquirer had.Liferaft raised $11 million against Vitable’s $25 million. No price was disclosed by either side, and neither release describes cash, stock or an asset purchase, although both describe the deal as an acquisition of the platform rather than of the company.

What to watch
- A first Form D. It would be due within 15 days of a first sale in any Regulation D offering.
- A Series B, or a revised total. The $25 million figure is now more than two years old.
- Whether the Liferaft price is ever disclosed, in a release or in a later filing.
- Enrollment counts rather than eligibility counts.
- Whether Vitable joins the HRA Council data pool, which would make its administrator ranking checkable.
