Reading the filings
- Absence of a Form D is not absence of money, but it caps what can be verified.Companies that raise under Section 4(a)(2) file no Form D. What the zero does establish is that no Regulation D offering was noticed by either name, so no offered figure, no sold figure and no investor count exists to check the data providers against.
- The one hard number is the smallest kind.PitchBook records $125,000 as an accelerator deal dated October 30, 2021. Y Combinator’s published standard deal states that “$125,000 of our investment converts into a fixed 7%”. The figure and the timing are consistent with the batch investment and nothing more.
- The March 2022 seed round has no amount attached anywhere.PitchBook dates it March 29, 2022, one week after the Launch HN post on March 22. Tracxn, working from the same public trail, reports total funding of $125K in one round, which means it does not record the March 2022 round as funded at all. Two providers, two different counts, no filing to settle it.
- The investor list is two names, one of which gives grants.Parsers VC lists Y Combinator and The Health Engine. Caplight describes The Health Engine as a UC Berkeley and UCSF accelerator that provides “seed funding in the form of grants, such as a $75k grant to its cohort companies”. Equipt Health does not appear in Caplight’s five listed portfolio entries, so no grant amount to this company is on the record.
- The revenue model never reached the payer that funds this category.Equipt sold for cash. Medicare pays a DMEPOS supplier by rental month and requires adherence documentation to continue past three months. A supplier with no Medicare number collects none of that, which puts the ceiling on any revenue line a later investor would have underwritten.
- The wind-down shows up in three independent places before it shows up anywhere official.PitchBook dates it December 23, 2025. Tracxn counts one employee as of June 30, 2026. The Internet Archive last captured a working heliosleep.com page on March 22, 2025, and equipthealth.com as a redirect on December 19, 2025. No dissolution filing has been located.
