Reading the filings

  1. The filing is larger than the announcement.The company announced a $10.0 million Series A on November 13, 2018 and put total funding at $12.5 million. The Form D filed the next day reports $12,876,388 offered and the same amount sold. The difference is $2,876,388, close to the $2.8 million that VentureBeat and the founder both put on the 2017 seed. The likely reading is that the filing swept in the earlier money or notes converting into it. The filing does not say, and no amendment settles it.
  2. The checks are fund sized.$12,876,388 across 40 investors is about $321,910 each. That fits a lead fund plus a tail of angels rather than a crowd, matching the named cast: Foundation Capital leading, New Enterprise Associates and FJ Labs in the seed, and individual founders from Dropbox and Gusto.
  3. The board on file is two people.Only Yunha Kim and Steve Vassallo appear. Vassallo is the Foundation Capital general partner who was quoted on the Series A. No New Enterprise Associates partner is listed as a director, which suggests the seed did not carry a board seat.
  4. Eight years of silence.No filing of any type has appeared under this CIK since November 14, 2018, and no issuer named Sleep Reset exists in EDGAR. That is not proof no money moved.
