Reading the filings

  1. The first notice arrived two years late.First sale Jan 30, 2018; Form D dated Apr 30, 2020, the same day as the Series A notice. Regulation D asks for it within 15 days of the first sale. Two offerings were caught up at once.
  2. The 2023 release understates the filing by a factor of two.A $9.5 million round was announced on Feb 3, 2023. The Form D filed that day reports $20,321,630 sold from 55 investors, about $369,500 each, of $30,734,497 offered. TechCrunch flagged it the same day. No amended notice has been filed.
  3. Check sizes fell about three quarters in one round.$369,500 average in Jan 2023; $88,200 average in Nov 2024, with only 62% of the $4.0 million target sold at filing. That is the shape of an insider extension, not a new institutional lead.
  4. The syndicate vehicles are small.True Ventures raised $550,000 from six people in 2020, The Helm $125,500 from six in 2022. Together $675,500, under 2% of the reported total, and neither firm is a named lead in any release.
  5. One board seat came and went.Ela Madej of Fifty Years is a promoter on the first 2020 notice and a director on the second, then absent from 2023 on. Miller, Gunden and Choi appear as directors from 2023; Middleton moves from director to executive officer and director.
  6. Nothing is on file for the November 2025 money.Two outlets report $3.5 million raised that month. The latest Form D is dated Jan 8, 2025 and its unsold balance was $1,530,783, less than the reported raise. An issuer can sell under Section 4(a)(2) and file nothing, so the silence is not itself a failure to file.
