Reading the filings

  1. The check is scout sized, not a lead.Fifteen investors put in $44,000 total, about $2,933 each. That is consistent with a syndicate or scout fund writing small checks into a startup, not an institutional lead investor.
  2. The vehicle is a shared shell, not Beacon specific.“SLRTE I LLC” is a Delaware umbrella that hosts many unrelated single company SAFE series for other startups, administered by the same firm, Seed Labs LLC. A search for the shell name turns up similarly structured series for other companies entirely, filed through the same administrator.
  3. No Form D has been filed under Beacon Health’s own name.An EDGAR search for the company turns up only two unrelated filers: Beacon Health Holdings LLC, a Massachusetts entity with filings from 2009 to 2013 that show no evident connection to this company, and the SLRTE I LLC SPV above. A larger round raised directly by Beacon Health, if one exists, would need its own Form D within 15 days of first sale, unless it was raised outside Regulation D.
  4. The reported total does not reconcile with the filed total.A company database credits Beacon Health with $500,000 raised in a single seed round dated January 2026, more than ten times the $44,000 on the one Form D found. That same database’s funding table lists a post money valuation and a revenue multiple in the low millions with no source given, numbers that do not fit a $500,000 seed at a pre revenue, early stage company, so the $500,000 total should be treated as approximate at best.
