What the filings show

There is nothing to show. Searching SEC EDGAR’s company database and its full text search system for dNovo Inc, dNovo, and dNovobio turns up no Form D notice filed under any of those names. A search that surfaced other biotech Form D filings from around the same period, including one from an unrelated company called Myodenovo Inc, returned no match for dNovo. That does not by itself mean no filing exists; a company can raise money under Section 4(a)(2) of the Securities Act instead of Regulation D and never file a Form D at all. But it does mean the only number on the table for this raise is the one the company put out itself.

Reading the record

  1. No Form D means no federal cross check.Every number below the $2.7 million headline, meaning any closing date, any per investor amount, or any confirmation the round actually closed, comes only from the company’s own January 2022 release and outlets that repeated it.
  2. The figure has held steady across sources that used it.BioSpace, New Atlas, FirstWord Pharma and the research aggregator Tracxn all cite the same $2.7 million seed figure from the same January 24, 2022 release. No outlet found in this research reported a different number for that round.
  3. Fifteen named backers, no dollar figure attached to any one of them. The release names Y Combinator, Felicis Ventures, Soma Capital and Yintai Investment Company LLC, plus three smaller funds (Ataria Ventures, Duro Ventures, Pioneer Fund) and eight individuals, including early Gmail engineer Paul Buchheit and Luno co-founder Joey Krug. Unlike a Form D, the release gives no breakdown of how much came from each.
  4. A second, higher figure appears in at least one database, unconfirmed elsewhere.Startup Intros, a third party company database, lists dNovo’s total raised as $3.0 million in a single seed round dated January 2022, and pairs it with an investor list that includes large funds such as Tiger Global Management, SoftBank and General Catalyst, none of which appear in dNovo’s own release or in any news outlet’s coverage of it. No independent source found in this research corroborates that larger figure or that investor list.
  5. Silence since 2022.dNovo finished its Y Combinator batch in 2018 and made no public funding announcement until January 2022. Nothing has been announced since. A hair loss industry pipeline tracker, last updated in November 2024, records the 2022 announcement and nothing after it.
  6. The founder’s capital has moved elsewhere.Ernesto Lujan is now chief scientific officer and a co-founder of Kangaroo Biomedical, a separate San Francisco company working on artificial placenta and artificial womb technology, which has itself raised $4.5 million in seed funding from investors including Draper Associates. That money went to Kangaroo Biomedical, not to dNovo, and the two companies’ fundraising should not be confused.

What to watch

  • Whether a Form D or any SEC filing ever appears under dNovo Inc’s name.
  • Whether dNovo’s patent application, if one exists, ever publishes or is reassigned.
  • Whether Kangaroo Biomedical, Ernesto Lujan’s current company, absorbs any of dNovo’s technology, patents or remaining team.
  • Whether a still-active competitor in reprogrammed hair therapy, such as Stemson Therapeutics or Pelage Pharmaceuticals, files anything that references dNovo’s patent applications.
