Dropprint Genomics

Dropprint raised no disclosed venture round on its own before Immunai bought it in March 2021. No SEC Form D was ever filed under its name. What can be dated is a Y Combinator backing, a reported letter of intent pipeline, and the buyer’s own capital position at the time of the deal.

What the filings show

No SEC Form D exists for Dropprint Genomics. A search of EDGAR’s company database for “Dropprint” returns no matching companies, and a full text search of every EDGAR filing for “Dropprint” returns zero hits, both run Sep 25, 2026. Immunai, the acquirer, is also not registered with the SEC as a filer, consistent with its status as a privately held company; there is accordingly no 10-K, 10-Q or 8-K to check the deal price against.

Reading the filings

  1. There is nothing to read, and that is itself informative.A company can raise money without ever filing a Form D, either by staying under the pooled thresholds where states historically did not require one, by raising under a private placement exemption other than Regulation D, or simply by taking only a Y Combinator SAFE and never doing an institutional priced round before being bought. Any of those would explain the absence here; the record does not say which.
  2. The buyer had just raised, the target had not disclosed raising.Immunai closed a $60 million Series A about a month before the acquisition and said its total funding stood at $80 million at that point, per Fierce Biotech and GenomeWeb. Dropprint, by contrast, has no total funding figure attached to it in any source found, disclosed or otherwise.
  3. The LOI number is a sales pipeline claim, not capital raised.TechCrunch reported Dropprint had “signed over $1 million in LOIs in two months” at its March 2020 demo day. A letter of intent is not a contract and not revenue, and the figure predates the acquisition by a year with no update found in between.
  4. Deal size cannot be estimated from public numbers.Unlike deals where a target’s revenue or user base lets a reporter back into a rough price, no revenue, a headcount figure independently confirmed, or a valuation figure for Dropprint was found anywhere in the public record.

What to watch

  • Any SEC filing that would name Dropprint or the deal price. None exists as of Sep 25, 2026.
  • Whether Immunai’s own capital raising, as a private company, ever surfaces a retrospective valuation for the assets it bought, including Dropprint’s cell database.
  • Confirmation, one way or another, of the disputed third co-founder claim tied to Dropprint’s UCSF origins.
