Reading the filings
- Furmacy never filed its own Form D.The only SEC paper trail runs through Wag’s 10-K, filed as the buyer, not through any offering notice filed by Furmacy itself. Companies that raise only from an accelerator and angels sometimes never trigger a Form D, so the gap does not prove no other money moved.
- The 2022 deal was small for both sides.Ninety thousand Wag shares worth about $0.43 million works out to roughly $86,000 per employee if Furmacy still had the five people Y Combinator’s listing counts. Wag itself called the acquisition not material.
- The pharmacy did not survive the deal.Within about seven months of closing, Wag had shut the El Dorado Hills pharmacy operation it assumed, keeping only the prescribing software and letting the physical fulfillment side go.
- The 2025 sale disclosed no price.Unlike the 2022 acquisition, which Wag had to report because it is a public company, the 2025 sale to MWI, a private distributor, came with no required number. Both the Wag and MWI press releases describe the payment only as cash consideration.
- Headcount shrank between owners.Four Wag employees moved to MWI in the 2025 sale, the only headcount figure disclosed for that transaction and fewer than the five people on Furmacy’s team when Y Combinator last updated its listing three years earlier.

What to watch
- Whether MWI publishes clinic counts or revenue for Furscription now that it sits inside a distributor’s broader technology suite.
- Whether the unnamed platform integration Wag announced in Apr 2024 was ever completed.
- Whether an amended or late Form D ever appears under Furmacy, Inc.’s name in SEC EDGAR.
- Where Georgia and Alex Jeremiah went after the 2025 sale. Neither founder’s next role turned up in this review.

Compiled from SEC and other public records and published reports as of September 25, 2026. Form D notices report offerings under Regulation D; none was found under Furmacy, Inc.’s own name, so the funding detail above draws on its acquirer’s SEC filings and both companies’ announcements instead. Healthcare Venture Capital Fund holds no position in Furmacy. This page is not an offer to sell or a recommendation to buy any security.
