What the filings show
Nothing. A search of SEC EDGAR’s company database for every filer with a name containing “Kip” that filed a Form D returns 17 entities, none of them Kip Labs, Inc., Kip Health or any name plausibly tied to this company. A separate search without the Form D filter also returns no matching entity. That means either Kip raised entirely under an exemption that does not require a Form D, such as Section 4(a)(2), or its capital came through vehicles that never filed one, or its rounds were small enough or structured in a way that avoided the requirement. The absence is notable given the company ran for roughly six years and named institutional investors throughout, but it is not proof of a specific amount raised.
Reading the record
- The investor list barely moved in four years. The same core names, Slow Ventures and Refactor Capital, appear in 2017 coverage of the company paying for founder therapy, and the same names plus Jumpstart and Great Oaks appear in the 2021 acquisition release. Either the list was stable across the company’s life or later press releases simply repeated an older list; nothing in the record distinguishes the two.
- A funding aggregator’s numbers do not check out.One third party funding database lists two seed rounds for Kip totaling about $120,000, but the same listing shows a post money valuation, revenue multiple and investor figures that are internally inconsistent with each other and with the stated round size. Those numbers look like placeholder or paywall filler rather than real figures, and are not used here.
- No terms attached to the sale.Every outlet that covered the Modern Health acquisition, including Modern Health’s own release, MobiHealthNews, pharmaphorum and Mercom Capital Group, describes the price as undisclosed. Modern Health had just closed a $51 million Series C led by Battery Ventures weeks earlier, which is the only dollar figure attached to the transaction in any source, and it describes the buyer’s position, not the deal price.
- The founder kept a formal role, not an earnout headline.Kip co-founder and CEO Ti Zhao joined Modern Health’s product development team as part of the deal. No source describes a retention package, an earnout or a timeline for her departure from Modern Health, if any occurred.

|---|---|---|
| Pricing | $165 flat per session, no insurance accepted, company kept about 25% of each session fee, per 2017 reporting. | Independent |

| Buyer context | Modern Health had raised almost $100 million and reached a roughly $500 million valuation by the time of the deal, per its own December 2020 Series C announcement. | Company-stated |
What to watch
- Any future disclosure of the acquisition price, which has not surfaced in five years of coverage.
- Whether either co-founder discusses total capital raised in a future interview.
- Records tied to the Kip Therapy Licensed Clinical Social Worker P.C. entity, which may outlive the Kip brand itself.
