Reading the filings

  1. The checks average about $203,700.Twenty six investors had put in $5,296,435 by the August 2018 filing, an average that fits a broad seed to growth syndicate mixing funds and individuals rather than a handful of large institutional checks.
  2. The filing predates the announced close by more than two years.The Form D’s first sale is dated July 31, 2018. BetaKit reported in December 2020 that the same round, described there as a Series A, “officially closed on August 31, 2020” at $11.5 million CAD ($9 million USD), more than double the $5,296,435 shown as sold on the sole filing. No amendment has been filed under CIK 0001750062 to update the amount, so the public record and the reported total never reconcile.
  3. The filer name lags the rebrand.The Form D was filed under ExVivo Labs Inc., the company’s original name. By the time BetaKit covered the round’s close in December 2020, the company was already using the name Kenota Health. No filing under a Kenota name appears in SEC EDGAR.
  4. Early backers reappear later.Y Combinator and 1517 Fund are named among the 2016 seed investors and again among the 2020 Series A participants, suggesting continuity from Kenota’s earliest investors through to its most recent reported round.
  5. One filing is all there is.Companies that continue an offering under Section 4(a)(2) instead of Regulation D, or that simply do not amend, file no further Form D. That gap does not prove no further money moved, but it means the $9 to $11 million total rests entirely on the company’s own account, with nothing on the public record to confirm the increase past $5.3 million.
  6. The people on the filing left.The only related persons named on the 2018 Form D are Kaddoura and Blondeel. By 2023 and 2024, Kenota’s own press releases credit a different chief technology officer, Chris Harder, and Blondeel’s own biography now lists him as having since co-founded a separate company, describing his Kenota role in the past tense.
