Reading the record
- The announced capital is a fraction of the stated requirement. In August 2016 the company said the 100,000 person project needed about $100 million. Announced equity at that point totalled $4.0 million, about 4 percent of it. The project as executed was a 2,500 person pilot.
- Absence of a Form D means nothing here.Sequence Bio is a private Canadian issuer headquartered in St. John’s. Regulation D notices apply to US offerings, and the records pull found none, alongside no FDA record, no registered trial and no US federal grant. The absence is a jurisdiction fact, not evidence about how much was raised.
- The company profile claims more than the announcements account for.A Y Combinator founder profile lists Sequence Bio S19 as having raised more than $10 million. Publicly announced rounds total $4.0 million plus an undisclosed YC investment. The gap of at least $6 million has no named source, and the company states that it does not release the terms of its financing.
- The province sits on several sides of the table.Venture NL, funded by the provincial government, BDC Capital and private investors, was an early shareholder. The province signed a precision medicine partnership in 2015 and a royalty agreement in 2025. The province also owns the Health Research Ethics Authority, whose board refused two Sequence Bio applications in 2018 and which the company then sued.
- Benefit sharing is priced off revenue, and starts small. The April 2025 agreement pays 1 percent of the first $5 million of gross revenue, 1.5 percent from $5 million to $25 million, and 2.0 percent at or above $25 million, with deferrals tied to profitability targets. At $25 million of revenue that is $50,000 plus $300,000, or $350,000, about 1.4 percent of the top line. No revenue has been disclosed.
- Control has stayed close to the original investors.Mark Dobbin, president of Killick Capital and an investor and director from 2016, is chair of the board. The chief executive has changed twice, from co-founder Tyler Wish to co-founder Chris Gardner in November 2016, and later to Lynn Healey, who was promoted from chief operating and financial officer.
