Reading the filings

  1. The price is stock, and it is the only number.$3.84 million in new Box shares is what the reported Form D shows. Box gave no other terms, and VentureBeat noted it was unclear whether bonuses or other compensation sat outside the filing.
  2. The split is unknown.Divided evenly between the two founders, $3.84 million would be $1.92 million each. That is an illustration only. Y Combinator and any other holders were entitled to a share, and no source gives the allocation.
  3. Price against usage.The founders cited 300 facilities (MedCity) and about 400 to 500 facilities (AuntMinnie). Spread over those counts, $3.84 million is about $12,800 down to $7,700 per facility. The counts are company-reported and differ.
  4. Announcement, then filing.Box announced on October 9 and said it expected to close in early November (Computerworld). A filing on November 17 is 39 days after the announcement. If shares were issued at an early November close, it falls inside the 15 day window for a Form D.
  5. Pre-sale capital is a blank.No Form D under MedXT’s own name appears for 2012 to 2014, and the parsed Form D records for this profile are empty. Crunchbase lists the last funding type as seed with no amount. What investors put in before the sale is unknown.
  6. A 2024 filer shares the name.MedXT Lab Corp. filed a Form D in February 2024. Nothing found connects it to the Box acquisition or the founders, so it is excluded from every figure above.
